These Terms of Service ("Terms") govern your access to and use of BasePlateCRM's customer relationship management platform and related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use our Services.
2. Description of Services
BasePlateCRM provides a cloud-based customer relationship management platform that includes:
- Contact and company management
- Deal and pipeline tracking
- Email integration and tracking
- Email campaign tools
- Reminder and follow-up management
- Analytics and reporting
- Team collaboration features
3. Account Registration
To use our Services, you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You agree to immediately notify us of any unauthorized use of your account or any other security breach. We are not liable for any loss or damage arising from your failure to protect your account credentials.
4. Acceptable Use
You agree not to use our Services to:
- Violate any applicable laws or regulations
- Send spam, unsolicited emails, or bulk communications
- Harass, abuse, or harm others
- Infringe on intellectual property rights
- Transmit malware, viruses, or harmful code
- Attempt to gain unauthorized access to our systems
- Interfere with or disrupt our Services
- Scrape or collect data without authorization
- Use the Services for any illegal or unauthorized purpose
5. Your Data
You retain all rights to the data you upload to our Services ("Your Data"). By using our Services, you grant us a limited license to use Your Data solely to provide and improve our Services.
You are responsible for ensuring that you have the necessary rights and permissions to upload and use Your Data, including any personal information of your contacts.
6. Email Integration
When you connect your email account (Gmail or other providers), you authorize us to access your email on your behalf to:
- Sync emails with contacts in your CRM
- Display email history within the platform
- Send emails on your behalf when you use campaign features
You may revoke email access at any time through your account settings. Revoking access will stop email synchronization but will not delete previously synced emails from your CRM.
7. Subscription and Payment
Some features of our Services require a paid subscription. By subscribing, you agree to pay all applicable fees. Fees are non-refundable except as required by law or as explicitly stated in our refund policy.
We may change our pricing at any time. Price changes for existing subscriptions will take effect at the start of the next billing cycle following notice of the change.
8. Free Trials
We may offer free trial periods. At the end of your trial, you will need to subscribe to continue using paid features. We reserve the right to modify or discontinue trial offers at any time.
9. Intellectual Property
Our Services, including all content, features, and functionality, are owned by BasePlateCRM and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our Services without our express written permission.
10. Third-Party Services
Our Services may integrate with or link to third-party services (such as Gmail). Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the practices of third-party services.
11. Service Availability
We strive to maintain high availability of our Services but do not guarantee uninterrupted access. We may temporarily suspend Services for maintenance, updates, or other reasons. We will make reasonable efforts to provide advance notice of planned downtime.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BASEPLATECRM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.
13. Indemnification
You agree to indemnify and hold harmless BasePlateCRM, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Services, your violation of these Terms, or your violation of any rights of another party.
14. Termination
You may terminate your account at any time through your account settings or by contacting us. We may suspend or terminate your account if you violate these Terms or for any other reason at our discretion.
Upon termination, your right to use the Services will immediately cease. You may export your data before termination. We will delete your data within 30 days of account termination, except as required by law.
15. Changes to Terms
We may modify these Terms at any time. We will notify you of material changes through the Services or via email. Continued use of the Services after changes constitutes acceptance of the modified Terms.
16. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of Delaware.
17. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
18. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and BasePlateCRM regarding your use of the Services and supersede any prior agreements.
